Terms and Conditions
These Terms and Conditions govern access to and use of the KRYOS website, platform, and related products and services.

1. Acceptance of these Terms
By accessing the website, creating an account, using the platform, accepting a quote or order form, purchasing hardware, subscribing to a service, or clicking to accept these Terms during checkout, you agree to these Terms.
If you act on behalf of an organisation, you confirm that you are authorised to bind that organisation.
2. Definitions
Business customer means a person or organisation using KRYOS for commercial, professional, institutional or operational purposes.
Consumer means an individual acting for purposes outside their trade, business, craft or profession.

4. Relationship with signed agreements
KRYOS may provide services under separate documents, such as quotes, order forms, subscription agreements, hardware purchase terms, service agreements, data processing agreements, installation or onboarding statements of work, and calibration or probe replacement orders.
If a signed agreement or order form conflicts with these Terms, the signed agreement or order form will prevail for the conflicting subject matter.
For paid subscriptions, hardware purchases, custom quotes, professional services or regulated customer workflows, KRYOS may require a signed order form or contract before activation.
Where platform use involves processing personal data on behalf of a business customer, KRYOS may require acceptance of a Data Processing Agreement before activating or continuing platform access.
Electronic signature may be used to execute customer agreements, order forms and data processing agreements.
5. Services
KRYOS may provide temperature and humidity monitoring services, wireless sensors and probes, cloud dashboards, alerts and alarms, response notes and acknowledgements when included in the applicable service, reports and audit logs, exports, monitoring records, hardware sales, subscription services, onboarding and installation services, probe recalibration or replacement services, custom quotes, discounts or professional services.
Specific features, prices, hardware, support, onboarding and service levels will be described in the applicable quote, order form, subscription plan or written agreement.
We may update, modify or improve features from time to time. We may discontinue or replace features where necessary for security, legal, technical or operational reasons, or where this does not materially reduce the paid service during an active subscription.
6. Support scope
Support is provided through the channels and during the times described in the applicable plan, order form or support documentation.
Unless expressly agreed, KRYOS does not provide 24/7 support or emergency response services.
7. Account registration and access
To use the platform, you may need an account.
You are responsible for providing accurate account information, keeping login credentials secure, managing your users, assigning roles and permissions correctly, promptly removing access for users who no longer need it, and all activity under your account, except where caused by KRYOS.
You must notify us promptly if you suspect unauthorised access.
8. Customer responsibilities
Customers are responsible for choosing what assets, rooms, fridges, freezers, vehicles, routes or storage points to monitor, defining suitable thresholds and alert rules, determining who should receive alerts, maintaining their SOPs and internal processes, responding to alerts, reviewing excursions, deciding what to do with affected stock, samples, vaccines, food, products or materials, keeping any required regulatory, quality, clinical, pharmacy, laboratory, GDP, food safety, HACCP, ISO, GLP, GMP or operational records, and ensuring their use of KRYOS fits their legal and regulatory obligations.
Customers are responsible for providing suitable power, connectivity, premises access, device placement conditions and compatible equipment where required.
KRYOS provides monitoring, alerting, records, reports and environmental evidence. KRYOS does not make final product, stock, vaccine, sample, food safety, clinical, laboratory, GDP, pharmacy, compliance, CAPA, release, rejection, quarantine or disposal decisions.
9. No emergency response service
KRYOS is not an emergency response service.
Customers remain responsible for maintaining appropriate staff coverage, escalation procedures, contingency plans, backup storage, maintenance providers and response processes.
10. No compliance guarantee
KRYOS is designed to support controlled storage, transport, alerting, reporting and review workflows.
KRYOS does not guarantee regulatory compliance, audit or inspection success, GDP compliance, HACCP compliance, ISO/IEC 17025 compliance, ISO 15189 compliance, GLP or GMP compliance, vaccine potency, food safety, medicine or product suitability, sample validity, clinical suitability, or product release or rejection decisions.
Customers must use their own qualified personnel, SOPs, quality systems, professional judgement and regulatory advice.
11. Hardware
KRYOS may sell sensors, probes, gateways, accessories or related hardware.
Unless otherwise stated in an order form, hardware ownership transfers to the customer after full payment, hardware must be used according to KRYOS instructions, customers must not misuse, open, modify, tamper with or reverse engineer hardware, customers must notify KRYOS promptly of faults, and consumables, batteries, calibration, recertification, probe replacement and maintenance may be charged separately unless included in the applicable plan or order.
12. Hardware delivery
Hardware delivery dates are estimates unless expressly agreed.
Risk of loss or damage passes according to the applicable order form or, if not specified, upon delivery to the customer or carrier, subject to mandatory consumer law.
Customers must inspect delivered hardware and notify KRYOS of visible damage or missing items within a reasonable time.
13. Hardware warranty
For business customers, KRYOS provides a limited hardware warranty of one year from delivery, unless a different warranty is stated in the order form or required by applicable law.
This warranty covers material defects under normal use. It does not cover misuse, unauthorised modification, improper installation not performed by KRYOS, physical damage, water, heat, electrical or environmental damage outside specifications, normal wear, consumables, batteries unless expressly covered, or damage caused by third-party equipment or customer processes.
For consumers, mandatory statutory rights under applicable consumer law are not limited by these Terms.
14. Calibration, certificates and probe replacement
Where applicable, KRYOS may provide calibration certificate context, ISO/IEC 17025-related sensor/probe workflows, probe replacement or recalibration services.
The specific calibration scope, certificate type, renewal period, replacement process and price will be described in the applicable quote, order form, service agreement or support communication.
Customers remain responsible for ensuring that calibration and recertification schedules meet their internal and regulatory requirements.
15. Installation and onboarding
KRYOS may provide remote onboarding, remote configuration assistance, paid or unpaid in-person installation, training or onboarding for team members, and implementation support.
Unless expressly agreed, customer is responsible for providing access to premises, identifying monitored assets, approving sensor/probe placement, confirming thresholds, assigning alert recipients, validating that the configuration fits its use case, and ensuring site conditions are safe and suitable.
16. Subscriptions, payment and renewals
Subscriptions, prices, billing periods, discounts, hardware costs, services, installation fees and renewal terms will be stated in the applicable quote, checkout, order form or agreement.
For direct online purchases, the checkout page or order summary will show the applicable products, subscription, hardware, billing period, renewal terms, taxes, and any required acceptance of these Terms before payment.
Platform access may remain pending until payment is confirmed and any required business contract, order form or data processing agreement is accepted.
Platform activation may be manual or delayed where hardware shipment, onboarding, installation, DPA acceptance, fraud checks or account configuration are required.
Prices may be shown exclusive or inclusive of VAT depending on the page, customer type and checkout flow. The applicable VAT, taxes, shipping, installation or service fees will be shown before payment or in the applicable quote or order form.
Unless otherwise agreed, fees are due as stated in the invoice, checkout or order form, online payments may be processed by Stripe, late payments may lead to suspension of service, subscriptions may renew unless cancelled according to the agreed process, and custom quotes or discounts apply only to the specific order or period stated.
17. Cancellation, refunds and returns
Because KRYOS often involves hardware, configuration, onboarding and business-specific setup, cancellation and refund rights depend on the customer type and order.
For business customers, unless otherwise stated in the order form, subscription fees already paid are non-refundable, custom hardware, configured services, installation, onboarding and calibration/probe services may be non-refundable once performed or dispatched, cancellation stops future renewal but does not automatically refund current-period fees, and hardware returns require prior written approval from KRYOS.
If you buy as a consumer through a distance contract, you may have a 14-day right of withdrawal under applicable consumer law.
This right may be subject to legal exceptions, including where services have been fully performed with your prior express consent, where digital content has begun with your consent and acknowledgement of loss of withdrawal rights, or where goods are made to your specifications or clearly personalised.
We will provide any required withdrawal information during the consumer checkout process. Hardware must be returned in accordance with KRYOS return instructions.
Consumers retain mandatory statutory cancellation, withdrawal, guarantee and refund rights where applicable.
18. Acceptable use
You must not use KRYOS unlawfully, attempt unauthorised access, interfere with security or monitoring systems, reverse engineer software or hardware, copy or resell the platform without permission, upload malicious code, use KRYOS to monitor people without a lawful basis, enter sensitive personal data unless necessary and lawful, overload, disrupt or damage KRYOS systems, remove proprietary notices, or use KRYOS to make unsupported compliance or product-safety claims.
19. Customer data
Customers retain ownership of their data.
KRYOS may process customer data to provide the services, operate alerts, dashboards, reports and exports, provide support, maintain security, comply with law, and improve services using anonymised or aggregated data where appropriate.
Where KRYOS acts as processor, processing will be governed by a data processing agreement or equivalent written terms.
20. Data retention and exports
Monitoring records, reports, alerts and audit logs may be retained according to the subscription, configuration, order form or customer agreement.
Customers should exports records they need before cancelling, terminating or allowing a subscription to expire.
Any post-termination access to data will depend on the applicable agreement and may be limited in time.
After termination, KRYOS may delete, anonymise or retain data according to the applicable agreement, legal obligations, support needs or documented customer instructions.
21. Service availability
KRYOS aims to provide a reliable service but does not guarantee uninterrupted or error-free operation unless a specific SLA is agreed in writing.
Service may be affected by internet connectivity, mobile network availability, customer premises conditions, third-party providers, power issues, maintenance, hardware placement or misuse, and events outside KRYOS control.
Customers should maintain appropriate backup procedures, contingency plans and SOPs for critical monitoring environments.
22. Alerts and notifications
KRYOS may support alerts through channels such as email, push notification, SMS, WhatsApp, phone call, audible buzzer or other methods depending on configuration and service plan.
Alerts may fail or be delayed due to incorrect contact details, disabled notifications, phone/network issues, email filtering, third-party provider outages, customer configuration, device or connectivity issues.
KRYOS does not guarantee that any person will receive, read or act on an alert. Customers are responsible for defining alert recipients, escalation procedures and response duties.
23. Intellectual property
The website, platform, software, documentation, designs, trademarks, content, interfaces and technology are owned by KRYOS or its licensors.
You receive a limited, non-exclusive, non-transferable right to use KRYOS according to these Terms and any applicable agreement.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from KRYOS unless allowed by law or agreed in writing.
24. Third-party services
KRYOS may integrate with or rely on third-party services such as hosting, payments, analytics, CRM, messaging, email, calendars, support tools or communication providers.
KRYOS is not responsible for third-party services outside its control. Use of third-party services may be subject to their own terms and privacy policies.
25. Confidentiality
If either party receives confidential information from the other, it must protect it with reasonable care and use it only for the purpose for which it was provided.
Confidential information does not include information that is public, already known, independently developed, or lawfully received from another source.
26. Disclaimers
To the maximum extent permitted by law, KRYOS is provided "as is" and "as available" unless expressly agreed otherwise.
KRYOS does not warrant that the service will be uninterrupted, every excursión will be prevented, every alert will be received or acted upon, records will satisfy every audit, inspection or regulator, products, vaccines, samples, food or medicines remain suitable after an excursión, or customer compliance obligations are fulfilled.
Mandatory consumer rights and non-excludable legal warranties are not affected.
27. Limitation of liability
To the maximum extent permitted by law, KRYOS will not be liable for indirect, incidental, special or consequential losses, loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, loss of stock, samples, product, vaccines, food or materials where the customer retains operational responsibility, regulatory fines caused by customer processes or decisions, or failures caused by customer configuration, misuse, internet/network issues or third-party services.
For business customers, KRYOS's total liability for claims arising out of or relating to the services will be limited to the amount paid by the customer to KRYOS for the affected service during the 12 months before the event giving rise to the claim, unless a different cap is agreed in writing or liability cannot be limited by law.
Nothing in these Terms limits liability where limitation is not permitted by applicable law.
28. Suspension and termination
KRYOS may suspend or terminate access if fees are overdue, security is at risk, you breach these Terms, use is unlawful, continued service would create legal, security or operational risk, or required hardware, connectivity or configuration is not maintained.
You may stop using the website at any time. Subscription cancellation is governed by the applicable order form, subscription terms or agreement.
29. Consumer rights
KRYOS is mainly intended for business customers. If you are a consumer, mandatory consumer protection rights under applicable law are not limited by these Terms.
If any provision of these Terms conflicts with mandatory consumer law, the mandatory law will prevail.
30. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date.
For material changes affecting active customers, we may provide additional notice where appropriate.
31. Governing law and jurisdiction
These Terms are governed by the laws of Spain.
For business customers, the courts of Valencia, Spain, will have exclusive jurisdiction, unless another venue is agreed in writing.
Consumers may have mandatory rights to bring claims in other courts under applicable consumer law.
